General Terms

VTP Films Production (“We,” “Our,” “Us”) provides a range of film production services, including pre-production, filming, post-production, editing, and distribution. These Terms and Conditions (“Agreement”) govern the use of our services and any interactions with our website, social media, and other platforms.

Services Provided

VTP Films Production offers various services, which may include but are not limited to:

  • Film Production (Pre-Production, Filming, Directing)
  • Post-Production (Editing, Sound Design, Visual Effects)
  • Distribution and Marketing of Films
  • Consulting and Development for Independent Filmmakers

Acceptance of Terms

By engaging in any services provided by VTP Films Production, you confirm that you understand and agree to these Terms and Conditions. If you do not agree with these terms, please refrain from using our services.

Client Responsibilities

  • Project Scope: Clients are required to provide clear and detailed project briefs, including timelines, budget, and creative vision.
  • Payment: Clients agree to pay the agreed-upon fees for services rendered. A deposit may be required upfront, with the remaining balance due according to the payment schedule outlined in the project agreement.
  • Intellectual Property: Clients are responsible for ensuring they have the necessary rights or permissions for any intellectual property (including music, script, branding, etc.) they wish to include in the production. VTP Films Production assumes no liability for intellectual property infringements.
  • Approval and Feedback: Clients must provide timely feedback and approvals to ensure project deadlines are met.

Production Process

  • Timeline: VTP Films Production will provide an estimated timeline for the completion of services. We will make reasonable efforts to adhere to deadlines, but we are not liable for delays beyond our control.
  • Changes to Scope: Any changes in scope, including additional services or revisions, may result in additional charges and impact the timeline.
  • Confidentiality: VTP Films Production agrees to maintain confidentiality regarding sensitive project information. Clients may request non-disclosure agreements (NDAs) to further protect proprietary content.

Payment Terms

  • Fees: All fees for services rendered will be specified in the project agreement and must be paid according to the schedule outlined. Additional costs incurred due to changes in project scope will be billed separately.
  • Payment Methods: Payments are typically accepted via bank transfer, credit card, or other agreed-upon methods.
  • Late Payments: In the event of late payment, VTP Films Production reserves the right to suspend or terminate services and impose late fees as specified in the project agreement.

Intellectual Property and Ownership

  • Client Ownership: Upon full payment for services rendered, clients will retain ownership of the final product (e.g., completed film). This does not extend to raw footage, production notes, or any other materials not specifically included in the final delivery.
  • VTP Films Ownership: VTP Films Production retains the rights to any pre-existing intellectual property used in the production process, including but not limited to proprietary software, templates, and creative assets.
  • License for Use: VTP Films Production grants the client a non-exclusive, transferable license to use the final product for the agreed-upon purposes.

Liability and Indemnification

  • Limitation of Liability: VTP Films Production will not be liable for any indirect, consequential, or incidental damages arising out of the use of our services. Our total liability to the client will be limited to the amount paid by the client for the specific service giving rise to the claim.
  • Indemnification: The client agrees to indemnify, defend, and hold harmless VTP Films Production from any claims, damages, liabilities, and costs arising from the client’s breach of these terms, misuse of intellectual property, or other actions not caused by VTP Films.

Termination

  • Termination by Client: The client may terminate the agreement at any time, but they may be subject to cancellation fees for work completed prior to termination.
  • Termination by VTP Films Production: VTP Films Production reserves the right to terminate the agreement if the client violates the terms or if payment is not made in accordance with the agreed schedule.
  • Effect of Termination: Upon termination, all outstanding fees become immediately due. Any unused portion of services will be refunded on a pro-rata basis, excluding any non-refundable fees.

Force Majeure

VTP Films Production will not be held responsible for failure or delay in performance of its obligations due to causes beyond its control, including but not limited to natural disasters, strikes, government regulations, or technical failures.

Dispute Resolution

In the event of any disputes, both parties agree to resolve the issue through good faith negotiations. If a resolution cannot be reached, the dispute may be submitted to mediation or binding arbitration under the rules of the [Local Arbitration Body].

Governing Law

This Agreement will be governed by and construed in accordance with the laws of [Jurisdiction/Country]. Any legal action or proceeding under this Agreement shall be brought in the courts located within [Jurisdiction].

Amendments
